Mountain Women Bylaws

ARTICLE 1 - NAME, PURPOSE

Section 1: The name of the organization shall be Mountain Women.
Section 2: Mountain Women was formed to provide networking, information sharing and social opportunities to women living full- and part-time on the mountain of Wintergreen Resort.

ARTICLE II - MEMBERSHIP

Section 1: Voting membership shall be open to any woman that supports the purpose statement in Article 1, Section 2, and continuing membership is contingent upon maintaining a mountain residence.

ARTICLE III - MEETINGS OF MEMBERS

Section 1: Meetings.  The date and meeting place of the regular meeting is set by the Steering Committee of Mountain Women.
Section 2: Special Meetings.  Special meetings may be called by the President or the Steering Committee.
Section 3: Notice.  Notice of each meeting shall be given to members via email, telephone and/or posters.

ARTICLE IV – STEERING COMMITTEE  

Section 1: Steering Committee (Committee) Role, Size, Composition.  The Committee is responsible for overall policy and direction of the Mountain Women. The Committee will have nine members to include five members-at-large and four neighborhood chairs representing Devils Knob, Black Rock, Laurel Springs, and The Springs.  The Committee receives no compensation.
Section 2: Meetings.  The Steering Committee shall meet at least quarterly, at an agreed upon time                         and place.
Section 3: Steering Committee Elections.  Steering Committee elections will be held annually at the December meeting.
Section 4:

Election Procedures.  The Steering Committee shall be responsible for nominating a slate.  Nominations for the Steering Committee will be made in the 4th quarter of the year. Members also may offer nominations.   All members are eligible to vote for the Steering Committee nominees with the election taking place at the regular December Mountain Women meeting.  A majority of the members present at the meeting is required for election.

Section 5:

Terms.  All Committee members shall serve one three-year term, but are eligible for re-election after a year’s absence from the Committee.  The year runs from January 1 to December 31.

Section 6: Quorum.  A quorum must be attended by at least a simple majority of the Steering Committee members before business can be transacted or motions made or passed.
Section 7: Notice.  An official Committee meeting requires that each member have written or telephone notice one week in advance.
Section 8:

Officers and Duties.  There shall be five officers of the Committee consisting of a President, Vice President, Recording Secretary, Communicating Secretary and Treasurer. The officers shall be elected by the Committee at the January Steering Committee meeting. Their duties are as follows:

The President shall convene regularly scheduled Mountain Women and Steering Committee meetings, shall preside or arrange for other members of the executive committee to preside at each meeting in the following order: Vice President, Communicating Secretary and Treasurer.

The Vice President will chair committees on special subjects as designated by the Committee.

The Recording Secretary shall be responsible for keeping records of actions, including overseeing the taking of minutes at all Mountain Women and Steering Committee meetings.

The Communicating Secretary shall be responsible for sending out meeting announcements, distributing copies of minutes and the agenda for Mountain Women and Steering Committee meetings as well as ensure historical records of proceeding are maintained.

The Treasurer shall make a report at each Mountain Women and Steering Committee meeting.  Treasurer shall collect monthly voluntary dues at each Mountain Women meeting, disburse funds as directed by the Steering Committee, and make financial information available to the Steering Committee and general Mountain Women membership.
Section 9: Vacancies.  When a vacancy on the Steering Committee exists, nominations for new members may be received from present membership to be voted upon at the next monthly Mountain Women meeting to fill the unexpired term.  If the unexpired term is less than one year, the new member is eligible to run for one full elected term without observing the terms of Article IV, Section 5
Section 10:

Resignation, Termination and Absences.  Resignation from the Committee must be in writing and received by the Communicating Secretary.  A Committee member may be dropped for excess absences from the Steering Committee or monthly Mountain Women meetings. A Committee member may be removed for other reasons by a two-thirds vote of the remaining Committee members.

Section 11 Special Meetings.  Special meetings of the Committee shall be called upon the request of the Chair or one-third of the Committee.  Notices of special meetings shall be sent out by the Secretary to each Committee member one week in advance.
Section 12: The Committee may set dues schedules for general Mountain Women memberships. 

ARTICLE V - COMMITTEES

Section 1: The Steering Committee may appoint committees as needed.

ARTICLE VI - DIRECTOR AND STAFF

Section 1: There will be no compensated staff.

ARTICLE VII - AMENDMENTS

Section 1: These Bylaws may be amended when necessary by a two-thirds majority of the Steering Committee. Proposed amendments must be submitted to the Communicating Secretary to be sent out with regular Steering Committee meeting announcements.

These Bylaws were approved by the Mountain Women Steering Committee on January 12, 2007, revised by the Committee on April 13, 2007 and approved by the Mountain Women general membership on April 13, 2007.
